Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the VeriMails website, API, applications, integrations, and related services (collectively, the “Services”), operated by Cliqte LLC, a Wyoming limited liability company (“VeriMails,” “we,” “us,” or “our”). By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

1. The Services

VeriMails provides email verification, deliverability analysis, email finding, and related contact-data services, accessible via our website, API, and integrations. We may add, modify, or discontinue features at any time.

2. Accounts

You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and API keys and for all activity under your account. Notify us promptly at support@verimails.com of any unauthorized use.

3. Credits, billing, and payment

Use of the Services consumes credits or is billed according to the plan you select. Charges are described at the point of purchase. Except where required by law, payments are non-refundable. Credits and their expiration, where applicable, are governed by the terms presented at purchase. We may change pricing prospectively with notice.

4. Acceptable use

You agree not to use the Services to:

• violate any applicable law or regulation, including anti-spam, data-protection, and privacy laws;
• send unlawful, deceptive, or unsolicited communications in violation of applicable law;
• submit data you do not have a lawful basis or right to process;
• infringe the intellectual property or privacy rights of others;
• attempt to gain unauthorized access to the Services, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Services;
• resell, sublicense, or provide the Services to third parties except as expressly permitted.

You are solely responsible for your use of the Services and for compliance with all laws applicable to the data you submit and the communications you send.

5. Your data and our use of it

You retain ownership of the data you submit (“Submitted Data”). You grant us a worldwide, non-exclusive license to host, process, and use Submitted Data to provide and operate the Services and to maintain and improve our verification systems and data products, including the retention and incorporation of verified results as described in our Privacy Policy. Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You represent and warrant that you have all rights, consents, and lawful bases necessary to submit the Submitted Data and to authorize the processing described in these Terms and the Privacy Policy.

6. Intellectual property

The Services, including all software, content, and trademarks, are owned by Cliqte LLC or its licensors and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You may not copy, modify, reverse-engineer, or create derivative works except as permitted by law.

7. Third-party services and integrations

The Services may integrate with third-party platforms. Your use of those platforms is governed by their own terms. We are not responsible for third-party services.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT VERIFICATION RESULTS WILL BE COMPLETELY ACCURATE OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. EMAIL VERIFICATION IS PROBABILISTIC AND RESULTS ARE PROVIDED FOR YOUR EVALUATION.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIMAILS AND CLIQTE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Cliqte LLC and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses arising from your use of the Services, your Submitted Data, or your violation of these Terms or applicable law.

11. Suspension and termination

We may suspend or terminate your access for violation of these Terms, suspected unlawful use, non-payment, or to protect the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Wyoming for any disputes not subject to arbitration, where applicable.

13. Changes to these Terms

We may modify these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by additional notice. Your continued use of the Services after changes take effect constitutes acceptance.
